Hello and welcome! These Terms of Use are a binding contract between you and Cycle AI. These Terms govern your access to and use of the Services. Please read them carefully as they contain important information about your legal rights. By accessing or using the Services, you agree to these Terms. If you do not understand or agree to these Terms, do not use the Services. These Terms apply to all versions of the Products and may be revised periodically without notice to you.
1.1.These Terms cover the Cycle AI website (the “Website”) and the Cycle AI mobile application (the “App”).
1.2.In these Terms, we will sometimes refer to Cycle AI as “Cycle AI,” “the Company,” or “we.” We refer to our Website and App, and any content, tools, features, and functionality made available through them, as the “Services.”
1.3.In these Terms, “you,” “your,” and “user” refer to you when you access or use our Services.
2.1.This application released on the Apple App Store can only be downloaded and used by users aged 17 and above according to Apple platform standards, including all functional access rights (such as in-app purchases, social interactions, etc.).
2.2. This application released on the Google Play Store can only be downloaded and used by users aged 16 and above according to the IARC unified rating standards.
2.3.You hereby guarantee that you have reached the age specified by the platform. Cycle AI does not assume any responsibility if the information you provide is untrue because Cycle AI cannot verify the user's age.
2.4.If your age is lower than the above limit, you can only use the Service with the consent of your parent or guardian. In addition, you should review these Terms with your parent or guardian to ensure that you and your parent or guardian understand and agree to these Terms.
2.5. If you use the Service on behalf of a company or other entity, "you" includes you and the entity, and you represent and warrant that: (a) you are an authorized representative of the entity with the authority to bind the entity to these Terms; (b) you agree to these Terms on behalf of the entity.
By using the content creation or sharing functions, you acknowledge and agree that:
3.1. User-Generated & AI-Generated Content Is User-Controlled. All images, avatars, chat snapshots, and AI-generated outputs are created based on user inputs. Cycle AI does not review, monitor, or endorse any generated or shared content.
3.2. User Is Fully Responsible for Shared Content.You remain solely responsible for ensuring that any content they create, save, or share—whether user-generated or AI-generated—is legal, non-infringing, and appropriate for public distribution.
3.3. No Platform Liability. Cycle AI is not liable for any consequences arising from the creation, saving, distribution, or public sharing of content produced using the platform. This includes any inappropriate, offensive, infringing, or unlawful material generated or disseminated by you.
3.4. Logo Does Not Indicate Endorsement. The presence of the Cycle AI watermark or logo on shared images does not imply that Cycle AI created, approved, or supports the content. It is purely a product identifier.
3.5. Content Moderation. While Cycle AI may implement automated moderation or safety filters, these systems are not guaranteed and may not detect all inappropriate or harmful content. You must exercise caution and good judgment before sharing any media.
3.6. User Assumes All Risks. By generating or sharing images through Cycle AI, you agree to assume all risks related to the accuracy, appropriateness, legality, and distribution of the content they produce.
4.1To access and use Cycle AI, you need to register. You can register using an Apple ID or Google account.
4.2You are responsible for keeping your password and account credentials confidential and avoid borrowing, sharing or lending them to others. You are also responsible for any activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other security breach.
4.3If a user bypasses the age requirement by using false information or logs in with an account without the consent of the guardian, we have the right to suspend or cancel their account directly once verified, and pursue legal liability as appropriate.
4.4We reserve the right to investigate violations of these terms and shut down services until further action is taken by our partners (such as Apple, Google).
5.1You may use Cycle AI only in accordance with these Terms and any and all agreements under which Cycle AI is provided to you. You agree to comply with all applicable local, state, national, and international laws and regulations. You agree to take full responsibility for all actions and omissions that occur as a result of your use of Cycle AI.
5.2You agree not to use Cycle AI for any unlawful purpose or in any manner prohibited by these Terms. You agree not to engage in any of the following prohibited activities:
5.3You are solely responsible for all Content that you submit to the Service. (When we refer to "your submissions" and similar terms, we mean anything you want to post, transmit or share, including but not limited to text, images, sounds, videos, graphics, information or other data.) You agree not to submit any content that:
5.4We reserve the right to investigate and take appropriate action against anyone we determine, in our sole discretion, to have violated the above provisions. This action may include, but is not limited to, removing content from the Service, suspending or terminating your account, and reporting you to law enforcement. 6.1.Our Services offer certain paid features that you can purchase through the app.
6.2.Currency conversion settlements, foreign exchange transaction fees and payment channel fees (if any) are based on your agreement with the respective payment provider.
6.3.All in-app purchases are final and non-refundable. Once a transaction is completed, it cannot be reversed or refunded regardless of your change of mind or circumstances. You waive any rights you may have under EU or other local laws to cancel completed purchases or obtain a refund.
6.4.We reserve the right to modify the prices of virtual goods and services at any time without prior notice. However, price changes will not affect any completed purchases.
6.5.You agree that in no event will we be liable for any damages or claims arising from your loss or use of in-app purchases. If we suspend or terminate your account, you will lose any products purchased through the Services.
6.6.In-app purchases are not redeemable for cash, legal tender, currency of any country, region or political entity or any other form of credit. In-app purchases may only be used within the Services provided by Cycle AI and may not be used in conjunction with other promotions, coupons, discounts or special offers unless specified by us.
7.1.Content you submit. When you submit Content to the Services, you represent and warrant that you own all right, title and interest in and to that Content (including, without limitation, all copyright and publicity rights) or that you have obtained all necessary licenses, approvals and authorizations to submit it to the Services for the purposes set forth in these Terms.
7.2.You retain any ownership rights you originally held in that Content when you submit such Content. You grant Cycle AI a nonexclusive, worldwide, royalty-free, fully paid-up, transferable, sublicensable, perpetual, irrevocable license to the fullest extent permitted by law to reproduce, display, upload, perform, distribute, transmit, make available, store, modify, exploit, commercialize and otherwise use the Content in any form, medium or technology now known or later developed for any purpose related to Cycle AI, including, without limitation, the operation, improvement and provision of the Services. You agree that these rights and licenses include the right for Cycle AI to provide the Content to others with whom we have a contractual relationship and to assign those rights to them, as well as the right to allow access to or disclose the Content to third parties where we believe such access is or may be necessary or appropriate.
7.3.Although we have no obligation to do so, we may access, review, screen, edit, modify, and remove your content at any time and for any reason, including in connection with providing and developing the Services or if we believe that the content violates these Terms or any applicable law.
7.4.Characters and Generations. When you create an automated artificial intelligence character (a “Character”) using the Services in accordance with these Terms, then as between you and Cycle AI, you own all rights in that Character. As between you and Cycle AI, you also own any text, images, audio, or video generated by that Character that you generate (“Generations”). You grant Cycle AI, to the maximum extent permitted by law, a non-exclusive, worldwide, royalty-free, fully paid-up, transferable, sublicensable, perpetual, irrevocable license to copy, display, upload, perform, distribute, transmit, make available, store, access, modify, exploit, commercialize, and otherwise use that Character and all Generations generated by you in any form, media, or technology, whether now known or later developed, for any purpose, including, without limitation, (i) facilitating other users to interact with the Character and generate Generations, and (ii) promoting the Services on and off the Platform.
7.5.Service Content, Software and Trademarks. You acknowledge and agree that the Service may contain content or features that are protected by copyrights, patents, trademarks, trade secrets or other proprietary rights and laws. You may not engage in or use any data mining, robots, scraping or similar automated data gathering or extraction methods while using the Service. If we block your access to the Service (including blocking your IP address), you agree not to take any steps to circumvent such blocking (e.g., masking your IP address or using a proxy IP address). Any use of the Service or the content on the Service except as expressly authorized in this Agreement is strictly prohibited. We reserve any rights not expressly granted in this Agreement.
7.6.Other trademarks used and displayed through the Service may be trademarks of their respective owners, who may or may not endorse, be affiliated or connected to Cycle AI. Nothing in these Terms or in the Service shall be construed as granting any license or right to use Cycle AI's trademarks without our prior written permission. All goodwill generated by the use of Cycle AI's trademarks shall belong exclusively to us.
7.7.Third Party Materials. In no event shall Cycle AI be responsible for the content or materials of any third party, including characters created by third parties and any generations thereof. This includes, but is not limited to, infringement of intellectual property rights, errors or omissions in any Content, and any loss or damage incurred as a result of the use of any such Content. You acknowledge that we do not pre-screen Content and that AI-generated chats are inherently unpredictable and may produce inaccurate or offensive generations. You agree that you must evaluate and bear all risks associated with the use of any Content or generations. You should not rely on the accuracy or completeness of statements made in the Content or generations, and if you do so, you acknowledge that you do so at your own risk.
7.8.You acknowledge that we have the right (but not the obligation) in our sole discretion to refuse or remove any Content (including Content, characters, and generations) that is available through the Services. Without limiting the foregoing, we have the right in our sole discretion to remove any Content that violates these Terms or that we deem objectionable.
7.9.You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information you provide to Cycle AI regarding the Services are non-confidential and that we have the right to use and disseminate them for any purpose without acknowledgment or compensation to you.
8.1.Cycle AI respects the intellectual property of others, and we ask our users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, or that your intellectual property rights have been otherwise violated, you should notify Cycle AI of your infringement claim in accordance with the procedure set forth below.
8.2.Cycle AI will process and investigate notices of alleged infringement and will take appropriate actions under the Digital Millennium Copyright Act (“DMCA”) and other applicable intellectual property laws with respect to any alleged or actual infringement. A written notification of claimed copyright infringement should be sent to [email protected].
8.3. For your notification to be valid, it needs to be in writing and include:
8.4.Cycle AI adheres to the DMCA and other relevant laws and will, when deemed necessary and at its sole discretion, terminate the accounts of users who repeatedly infringe. Cycle AI can also limit access to the Services and/or terminate the accounts of any users who violate others' intellectual property rights, regardless of whether repeat infringement is involved.
We retain a separate Privacy Policy and your assent to these Terms also signifies that you have read and understand the Privacy Policy. We reserve the right to amend the Privacy Policy at any time by posting such amendments to the Service or our website. No other notification may be made to you about any amendments. Your continued use of the App following such amendments will be deemed your acknowledgement of the Privacy Policy and that you have read and understand it.
10.1.Our platform may link to or incorporate third-party websites, services, or advertisements. We are not responsible for the content, accuracy, or functionality of these external services, nor any damages resulting from their use.
10.2.All interactions with third-party advertisers or services are strictly between you and the respective parties. We are not responsible or liable to you or to any third party for any loss or damage of any sort caused or alleged to be caused in connection with any such dealings or as the result of the presence of such advertisers on Cycle AI. We will not be liable to you or to any third party for any failure by an advertiser to provide any service or product you ordered from it.
11.1.You use Cycle AI at your sole risk. We provide Cycle AI on an “as is” and “as available” basis. We expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement. No advice or information, whether oral or written, obtained by you from or through us shall create any warranty not expressly stated in the Terms of Use.
11.2.We do not guarantee that Cycle AI will always be safe, secure or error-free or that Cycle AI will always function without disruptions, delays or imperfections. We make no warranty that (a) Cycle AI will meet your requirements, (b) Cycle AI will be uninterrupted, timely, secure, or error-free, (c) the results that may be obtained from your use of Cycle AI will be accurate or reliable, (d) the quality of any products, services, information, or other material purchased or obtained through Cycle AI will meet your expectations, and (e) any errors in the software will be corrected.
11.3.Any content, information, or material downloaded or otherwise obtained through Cycle AI is done at your own discretion and risk. You will be solely responsible for any damage to your or another’s device or computer or loss of data or any other damage or loss that results, directly or indirectly, from the download of any such content, information or material.
12.1.We are not responsible for the actions, content, information, or data of third parties, and you release us, our subsidiaries, affiliates, and each of our directors, officers, employees, and agents from any claims and damages, known and unknown, arising out of or in any way connected with any claim you have against any Cycle AI users or other third parties.
12.2.You expressly agree that we shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data or other intangibles (even if we have been advised of the possibility of such damages), and including without limitation resulting from: (a) the use or the inability to use Cycle AI; (b) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from Cycle AI; (c) unauthorized disclosure, access to or alteration of your content, transmissions or data; (d) statements or conduct of any user or third party.
12.3.Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above warranty limitations may not apply to you. In such cases, our warranties and liabilities will be limited to the maximum extent permitted by applicable law.
You agree to defend, indemnify, and hold harmless Cycle AI and its affiliates from any claims, liabilities, losses, or expenses (including legal fees) arising from your use of the service, your content, or any violation of these Terms.
14.1.The term of this Agreement shall be effective upon your commencement of use of the Services and shall continue in perpetuity unless terminated by Cycle AI or you in writing. Cycle AI reserves the right to change, suspend or discontinue the Services or any part thereof at any time. Without prejudice to any other rights, these Terms of Use shall terminate automatically if you fail to comply with any restrictions or other requirements set forth herein. Upon termination or expiration of these Terms of Use, you must immediately cease any use of the Services, including, without limitation, any use of Cycle AI trademarks, trade names, copyrights and other intellectual property.
We reserve the right to modify, amend, or update these terms and conditions at any time, at our sole discretion. Any changes will be posted in the form of an updated version on this page, and the revised terms will take effect as of the date of posting. It is your responsibility to periodically review these terms to stay informed of any updates. By continuing to access or use our Services after any changes have been made, you acknowledge and agree to be bound by the updated terms. If you do not agree with the updated terms, you should immediately cease using our Services. In some cases, we may notify you of significant changes via email or through notifications within the Services, but it remains your responsibility to ensure you are aware of any changes.
17.1.If any provision of these Terms of Use is held to be illegal, invalid, or unenforceable for any reason, then that provision, or any part thereof, shall be severed from these Terms of Use and the remainder shall be modified to reflect the original intent as closely as possible. All other provisions shall remain in full force and effect.
17.2.These Terms of Use constitute the entire agreement between the parties concerning the subject matter hereof and supersede and replace all prior or contemporaneous oral or written agreements (including any previous terms and conditions).
17.3.No waiver of any provision of these Terms of Use shall be effective unless in writing and signed by an authorized representative of Cycle AI.
